USA and Canadian stock difference?

    Ok, In the USA I have bought Canadian stocks on the OTC. In simple terms, how does this work? Are the USA stocks separate from the Canadian ones or are they all part of the same pool of issued stocks? I have gotten some e-mails from the Canadian companies that include a statement "NOT FOR DISTRIBUTION TO U.S. NEWS WIRE SERVICES OR DISSEMINATION IN THE UNITED STATES". Why is this information not relevant to a USA investor?

    Thanks for any clarifications.

    Yes, its a different listing, and obviously on a different exchange.

    That has more to do with compliance to SEC regulations. Technically speaking, the news is easily accessible and not hidden away, its just that Canadian news about a Canadian stock will not fall under SEC regulation, so they need to specify that its not for the US.
